MeshWatch Software Licence Agreement - version 1.0

MESHWATCH SOFTWARE LICENCE AGREEMENT (EULA)
Version 1.0 - effective 13 October 2026

This agreement is between you (the individual installing the software, or the organisation you install it for - "you") and MeshWatch ("we", "us"). It covers SyslogWatch, DeviceWatch, TrafficWatch, CertWatch, ConfigWatch, TrapWatch, MeshServerWatch (Manager and Agent), MeshWatch Central and SecureServe (each a "Product"). By selecting "I agree", installing, or using a Product, you accept this agreement. If you do not agree, do not install or use the Product.

1. LICENCE
We grant you a non-exclusive, non-transferable licence to install and use each Product on machines you own or operate, within the limits of the edition you are entitled to: the free tier, the 30-day trial, or a paid edition shown in your licence key (for example a number of devices, servers or seats, and an expiry date). The software is licensed, not sold. We keep all rights not expressly granted.

2. FREE TRIAL - PLEASE EVALUATE BEFORE YOU BUY
Every Product that has a paid edition includes a free 30-day trial with the paid features unlocked, so that you can test it on your own network and devices before paying. Please use the trial to confirm that the Product works for your environment, devices and needs. The trial is recorded on the machine where it runs and cannot be restarted by reinstalling or deleting the Product's data.

3. PAYMENTS ARE FINAL - NO REFUNDS
Because the trial lets you evaluate the full Product first, all payments are final. Once a licence key has been issued we do not give refunds, credits or partial refunds - including for unused time, for a decision not to use the Product, or for cancelling before the end of a billing period. The only exceptions are (a) a duplicate or incorrect charge caused by a billing error that you report to support@meshwatch.app within 14 days of the charge, and (b) where the law that applies to you gives you a right to a refund that cannot be excluded by contract. Purchases made through the Mac App Store are governed by Apple's terms and refund process, not by this section.

4. SUBSCRIPTIONS AND CANCELLATION
Paid editions bought directly are billed through Stripe and renew automatically until cancelled. You can cancel at any time by emailing support@meshwatch.app before the renewal date; cancellation stops future charges and does not refund the current period. Each licence key carries its own expiry date and keeps working until that date. Seat-based subscriptions (for example MeshServerWatch, priced per server) are billed for the quantity you choose; changing the quantity takes effect from the next invoice.

5. CONSUMERS IN THE EU, EEA AND UK
If you buy as a consumer in the European Union, the EEA or the United Kingdom, you normally have 14 days to withdraw from a contract for digital content. By completing a purchase you expressly request that we deliver your licence key immediately, and you acknowledge that you lose your right of withdrawal once the key has been delivered to you. This does not affect your statutory rights if the Product is faulty or not as described.

6. RESTRICTIONS
You may not: (a) copy, sell, rent, sublicense or redistribute a Product or a licence key, or use one key beyond what its edition permits; (b) reverse engineer, decompile or disassemble a Product, except to the extent the law expressly allows despite this restriction; (c) remove, disable or work around licence checks, trial limits or seat counting; (d) use a Product to break the law, infringe others' rights, or violate the security or acceptable-use policies of any network or device you connect it to; (e) connect a Product to devices, networks, servers or hosts that you do not own or are not authorised to administer.

7. YOUR DATA
The Products run on machines you control and store their data there. They send data elsewhere only as described in our Privacy Policy (meshwatch.app/privacy) - for example alert emails through the mail server you configure, summaries to a MeshWatch Central or MeshServerWatch Manager that you run, and, where enabled, a check for new versions. You are responsible for your configuration, for the devices and networks involved, and for keeping your own backups.

8. THIRD-PARTY COMPONENTS
The Products include open-source components (for example Electron, Chromium and Node.js in the desktop apps, and the Go standard library in MeshServerWatch). Those components are licensed to you under their own licences, which are included with the Product. Nothing in this agreement limits your rights under those licences.

9. NO WARRANTY
To the extent permitted by law, the Products are provided "as is" and "as available", without warranties of any kind, including fitness for a particular purpose and non-infringement. We do not guarantee that a Product will be uninterrupted, error-free, or will detect every event, failure or security issue. A monitoring tool is one control among several; do not rely on it as your only safeguard.

10. LIMITATION OF LIABILITY
To the extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising from the Products or this agreement. Our total liability for any claim is limited to the amount you paid us for the Product concerned in the 12 months before the claim. These limits do not apply to damage caused by our intent or gross negligence, or to any liability that cannot be limited by law.

11. GOVERNING LAW AND YOUR LOCAL RIGHTS
This agreement is governed by the laws of the Republic of Singapore, without regard to its conflict-of-law rules, and the courts of Singapore have jurisdiction, except as follows. If you are a consumer, you also keep the protection of the mandatory laws of the country (and, in the United States, the state) where you live, and you may bring a claim in the courts there; nothing in this agreement limits rights that those laws do not allow to be limited - for example under the consumer protection laws of your U.S. state, Japan's Consumer Contract Act, or the consumer laws of the EU, EEA or UK. If any part of this agreement cannot be enforced where you live, that part applies only to the extent the law allows and the rest stays in effect. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12. TERMINATION
This agreement ends automatically if you breach it. You may end it at any time by uninstalling the Product. When it ends you must stop using the Product; sections 3, 6, 9, 10 and 11 continue to apply.

13. CHANGES
We may update this agreement with new versions of the Products. The version number and date are shown at the top; if they change, the Product will ask you to accept the new version before continuing. The version you accepted governs the period before that.
